Carrier Dispatch Service Agreement

Agreement version 2026.10-v2

1. Parties & limited appointment

This Agreement appoints Smart Haul as the carrier’s non-exclusive dispatch service and limited operational agent. The carrier remains the motor carrier of record and retains its operating authority.

2. Carrier control / no forced dispatch

The carrier controls freight acceptance. Smart Haul presents load options for review; the carrier may accept, counter or reject them, and dispatcher action remains required for booking in the current workflow.

3. Selected service scope

Everything in Core Dispatch; Proactive broker-relationship follow-up and preferred-broker mapping; Reload, backhaul and repeat-lane planning; Direct-shipper prospecting support and dedicated-lane opportunity development; Weekly operating summary covering lane/rate/search observations; Priority review of repeatable freight opportunities that fit the carrier profile.

4. Dispatch fee

Carrier agrees to the percentage shown above for qualifying loads sourced, negotiated, booked or materially managed by Smart Haul, subject to the full agreement terms.

5. Billing & payment

Dispatch fees are invoiced on the configured Smart Haul billing cycle and are due according to the payment terms shown in the stored agreement. Good-faith billing disputes must be raised promptly with supporting detail.

6. Dispatch / broker boundary

Smart Haul acts for the carrier as a dispatch service and does not take title to freight, transport freight under Smart Haul authority, or guarantee broker/shipper payment.

7. Carrier-authorized negotiation

Smart Haul may obtain load information, negotiate rates/accessorials, communicate with brokers and support ordinary broker setup within carrier instructions. The carrier remains responsible for final freight decisions.

8. Equipment responsibilities

Carrier is responsible for confirming that its equipment, drivers, authority, permits, securement systems and operating capabilities are appropriate and lawful for each accepted shipment.

9. Compliance, safety & insurance

The carrier remains responsible for authority, insurance, safety, driver qualification, hours of service, equipment, cargo securement and all transportation obligations. Service may be paused if compliance appears expired or insufficient.

10. Documents & records

The carrier will provide rate confirmations, BOL/POD, receipts and other operational documents needed for dispatch support, invoicing and recordkeeping.

11. Dedicated / repeat freight

Smart Haul may pursue repeat, direct-shipper or dedicated-lane opportunities where included in the selected tier, but does not guarantee awards, revenue, load volume or fleet growth.

12. Carrier Portal location sharing

Carrier elects browser-based location sharing while actively using the Carrier Portal; this supports availability and freight matching but does not continue after the browser is closed.

13. Fees, operating decisions & no profit guarantee

The carrier remains responsible for fuel, tolls, drivers, maintenance, taxes, permits and all operating costs. Freight-search or profitability tools are estimates; Smart Haul does not guarantee loads, rates, revenue, profit or utilization.

14. Term, pause & termination

The Agreement becomes effective when the account is approved/activated. Either party may pause or terminate service electronically. Smart Haul may immediately suspend service for compliance/safety concerns, fraud, nonpayment or material breach.

15. Electronic records

Carrier agrees to electronic contracting, retention and delivery of the signed Agreement and understands the typed legal name plus required acceptance constitutes the carrier’s electronic signature.

16. Full agreement

The stored signed agreement includes the complete legal clauses, selected service tier, equipment addendum, communication elections and signature audit record. A material pricing/tier change requires documented acceptance.
